End User License Agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE FOUNDERAI APPLICATION.
This End User License Agreement ("EULA") is a legal agreement between you ("You", "Your" or "User") and FounderAI ("we," "us," "our," or "Company") for the FounderAI mobile application ("Licensed Application" or "App") made available through the Apple App Store.
By downloading, installing, or using the Licensed Application, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the Licensed Application.
1. ACKNOWLEDGMENT
This EULA is between You and FounderAI only, and not with Apple Inc. ("Apple"). FounderAI, not Apple, is solely responsible for the Licensed Application and its content. This EULA may not provide for usage rules for the Licensed Application that are less restrictive than the Apple Media Services Terms and Conditions ("Usage Rules"), and the Licensed Application is licensed, not sold, to You.
2. SCOPE OF LICENSE
2.1 License Grant
Subject to the terms of this EULA, FounderAI grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules.
2.2 Restrictions
You may not:
- Distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time
- Transfer, redistribute, or sublicense the Licensed Application
- Copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application
- Use the Licensed Application for any illegal or unauthorized purpose
- Remove, obscure, or alter any proprietary notices on the Licensed Application
3. SUBSCRIPTIONS AND IN-APP PURCHASES
3.1 Subscription Terms
The Licensed Application offers auto-renewable subscriptions that provide access to premium features:
- Weekly Subscription: $6.99 per week
- Annual Subscription: $39.99 per year
- Lifetime Access: $79.99 one-time purchase
3.2 Auto-Renewal
Your subscription will automatically renew at the end of each subscription period unless you cancel it at least 24 hours before the renewal date. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.
3.3 Managing Subscriptions
You can manage and cancel your subscriptions through your Apple ID Account Settings after purchase. No cancellation of the current subscription is allowed during the active subscription period.
3.4 Free Trial
If offered, any unused portion of a free trial period will be forfeited when you purchase a subscription.
3.5 Price Changes
We reserve the right to modify subscription prices. Price changes will take effect at the start of the next subscription period following the date of the price change. You will be notified of price changes and given the opportunity to cancel before they take effect.
4. USER ACCOUNTS
4.1 Account Creation
You may be required to create an account to access certain features. You must provide accurate, complete, and current information during registration.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.3 Age Requirements
You must be at least 18 years old to use this Licensed Application. By using the App, you represent and warrant that you meet this age requirement.
5. PRIVACY AND DATA COLLECTION
5.1 Privacy Policy
Your use of the Licensed Application is also governed by our Privacy Policy, available at https://founderaiapp.com/privacy.
5.2 Consent to Data Use
You agree that we may collect and use technical data and related information to facilitate updates, product support, and other services related to the Licensed Application, provided such information is in a form that does not personally identify you.
6. CONTENT AND INTELLECTUAL PROPERTY
6.1 User Content
You retain ownership of any content you create or submit through the Licensed Application. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of operating and improving the Licensed Application.
6.2 Our Intellectual Property
The Licensed Application and all related content, features, and functionality are owned by FounderAI and are protected by international copyright, trademark, and other intellectual property laws.
7. THIRD-PARTY SERVICES
The Licensed Application may enable access to third-party services and websites ("External Services"). You agree to use External Services at your sole risk. We are not responsible for examining or evaluating the content or accuracy of any third-party External Services.
8. DISCLAIMERS
8.1 Business Advice Disclaimer
THE LICENSED APPLICATION PROVIDES GENERAL BUSINESS GUIDANCE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL BUSINESS, LEGAL, FINANCIAL, OR TAX ADVICE. ALWAYS CONSULT WITH QUALIFIED PROFESSIONALS FOR SPECIFIC ADVICE RELATED TO YOUR SITUATION.
8.2 No Warranty
THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDERAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. LIMITATION OF LIABILITY
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL FOUNDERAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE LICENSED APPLICATION.
IN NO EVENT SHALL FOUNDERAI’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU HAVE PAID TO FOUNDERAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless FounderAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of or related to your use of the Licensed Application or violation of this EULA.
11. TERMINATION
11.1 Termination by You
You may terminate this EULA at any time by deleting the Licensed Application from your device.
11.2 Termination by Us
We may terminate or suspend your access to the Licensed Application immediately, without prior notice, if you breach any provision of this EULA.
11.3 Effect of Termination
Upon termination, all rights granted to you under this EULA will immediately cease, and you must stop all use of the Licensed Application and delete it from your devices.
12. THIRD-PARTY ACKNOWLEDGMENTS
12.1 Apple’s Role
Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
12.2 Maintenance and Support
FounderAI is solely responsible for providing maintenance and support services for the Licensed Application. Apple has no obligation to provide any maintenance or support services.
12.3 Product Claims
FounderAI, not Apple, is responsible for addressing any claims relating to the Licensed Application, including product liability claims, claims that the Licensed Application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
12.4 Intellectual Property Claims
In the event of any third-party claim that the Licensed Application infringes that third party’s intellectual property rights, FounderAI, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
13. EXPORT COMPLIANCE
You may not use or export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
14. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding arising under this EULA will be brought exclusively in the courts located in [Your Jurisdiction].
15. ENTIRE AGREEMENT
This EULA, together with our Privacy Policy and Terms of Service (available at https://founderaiapp.com/terms), constitutes the entire agreement between you and FounderAI regarding the Licensed Application and supersedes all prior agreements and understandings.
16. SEVERABILITY
If any provision of this EULA is held to be unenforceable, the remaining provisions will continue in full force and effect.
17. CHANGES TO THIS EULA
We reserve the right to modify this EULA at any time. We will notify you of any material changes by posting the new EULA within the Licensed Application or through other appropriate means. Your continued use of the Licensed Application after such modifications constitutes acceptance of the updated EULA.
